I. Registration requirements

1、Type of company: limited liability company (local company)

2, shareholders: at least 3 people, at least 1 of them is Thai, and the proportion of foreign capital must not be higher than 49% (our program is 3 Thai shareholders, a total of 51% of the shares, the remaining 49% of the shares are Chinese shareholders)

3、Directors: at least 1 person, can only be natural persons, can be foreigners

4、Registered address: must have a local address, our company can provide

5、Registered capital: proposed 2 million baht (on behalf of the capital verification)

Note: Regarding the registration of Thai companies, please remember not to mention to your clients about the nominee agreement or the equity transfer agreement in the future.

Because this agreement itself is not protected by Thai law, in order to avoid unnecessary trouble, so do not mention this agreement with the customer, if the customer strongly hold the agreement file, you need to pay a fee

If the customer requests to use his own address, the following documents are required:

1、Scanned copy of the original passport of the customer
2、Detailed location map of the customer’s address
3、Housing lease contract
4、Scanned copy of land certificate and house sale certificate
5、a copy of the house account book (pages 1 and 2 need to be signed by the landlord himself)
6、the landlord agreed to the address of the registered company letter of intent
7、a copy of the front and back of the landlord’s identity card (the landlord’s signature is required)
8、a photo of the door number, the interior of the company, the company name sign, each one photo of the whole building where the company is located, one photo of the left and right sides of the road and the door number of the building where the company is located
9、original PP20 (if the landlord is an individual, this is not required)

10、Registered capital: 2 million baht registered by default
11、Bank account opening: legal person must be present
12、Legal Secretary：No
13、Notarization：No need to apply

II. The registration of the required information
 1. at least 3 company names (in English);
 2. Passport of the shareholder/director
 3. the name, occupation, address, telephone number and e-mail address of the shareholder/director
 4. share allocation ratio;
 5. the registered capital (default 2 million baht, no actual payment required)
 6. the scope of business of the company generally choose the Thai standard scope, which has included 22 major categories

III. The application process (processing time limit: about 2 months, excluding bank account opening and tax number application time)
 1、Payment by signing contract
 2、Customer to provide the company name for name verification
 3、Customer to provide information required for registration
 4、Thai side according to the customer information to produce files
 5、Customer sign and send the file back to Thai side
 6、Submit for registration
 7、Bank account opening (need to arrange)
 8、Tax registration (all business activities requiring corporate income tax must be registered with the tax office for tax registration within 60 days from the date of establishment or registration; companies with annual turnover of more than 1.8 million baht must register for value added tax (VAT) within 30 days from the date the annual turnover exceeds that amount)
